Terms.
Last updated: October 2026
Scope
These terms apply to all contracts and services of MZK Media Ltd. (“Agency”) for its clients (“Client”). Our services are aimed exclusively at businesses, not consumers. Different terms of the Client apply only if the Agency expressly agrees to them in writing.
Services
Services cover web apps and software development, websites and shops, SEO, online advertising and AI automation as set out in the respective quote. The individual quote defines type and scope. The Agency provides services and work results; a specific commercial result (for example rankings, revenue or reach) is owed only if expressly agreed.
Quote and contract
Quotes are non-binding. A contract is concluded by written order confirmation or by the start of work.
Client cooperation
The Client provides all necessary information, access, content and approvals in good time. Delays caused by missing cooperation are not the Agency's responsibility. The Client warrants that content it supplies is free of third-party rights.
Fees and payment
Fees follow the respective quote. Advertising budgets on platforms (for example Google or Meta) are not part of the fee and are borne by the Client. Invoices are due within 14 days without deduction. Prices are subject to VAT where applicable.
Term and termination
Term and notice periods of ongoing services (for example support or maintenance) follow the respective contract. The right to terminate for good cause remains unaffected. Notice must be given in writing.
Rights of use
The Client receives the rights required for the agreed use of the work results once the fee has been paid in full. Rights to concepts, tools, templates and unselected drafts remain with the Agency. Third-party software is subject to its providers' licence terms.
Confidentiality
Both parties treat the other's confidential information as confidential and use it only to perform the contract. The Agency names the Client as a reference only with the Client's consent.
Warranty
The Agency performs its services with professional care. Defects must be reported in writing without delay; the Agency is given the opportunity to remedy them.
Liability
The Agency is liable without limitation for intent and gross negligence and for injury to life, body or health. For slight negligence it is liable only for breach of essential contractual obligations and limited to typical, foreseeable damage.
Data protection
Where the Agency processes personal data on behalf of the Client, the parties conclude a data processing agreement under Art. 28 GDPR.
Final provisions
The law of the Republic of Cyprus applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is Larnaca, Cyprus, to the extent permitted by law. Should individual provisions be invalid, the remaining provisions remain unaffected.
